These Terms and Conditions ("Terms") govern your access to and use of the xMonks Referral Platform ("Platform", "Service"), operated by xMonks ("xMonks", "we", "us", "our"). The Platform is accessible via our website xmonks.com and any related applications.

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy (available at Privacy Policy). If you do not agree to all of these Terms, do not use the Platform.

1. Eligibility

To use our Platform, you must be at least 18 years old and capable of forming a binding contract in your jurisdiction. By creating an account and using the Service, you represent and warrant that you meet these eligibility requirements.

2. Referral Program

The xMonks Referral Program allows registered users ("Referrers") to earn rewards by referring new clients or customers ("Referred Users") to xMonks services.

• Referral Codes: Each Referrer will be provided with a unique referral code or link.
• Successful Referrals: A referral is considered "successful" based on criteria defined by xMonks, which may include the Referred User completing a purchase, signing a contract, or achieving a specific milestone. These criteria will be communicated on the Platform or through program documentation.
• Rewards: Details regarding rewards, commission structures, and payout schedules are provided within your Platform dashboard or communicated separately. Rewards are subject to verification and compliance with these Terms.
• Modifications: xMonks reserves the right to modify, suspend, or terminate the Referral Program, or a user's ability to participate in it, at any time and for any reason, with or without notice, although we will endeavor to provide notice of material changes.

3. Account Responsibilities

• You are responsible for maintaining the confidentiality of your account login information (email and password) and are fully responsible for all activities that occur under your account.
• You agree to immediately notify xMonks at support@xmonks.com of any unauthorized use, or suspected unauthorized use, of your account or any other breach of security.
• xMonks cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.
• You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4. User Conduct and Prohibited Activities

You agree not to use the Platform for any purpose that is illegal or prohibited by these Terms. Prohibited activities include, but are not limited to:

• Engaging in any fraudulent activity, including creating fake accounts or referrals, or attempting to manipulate the Referral Program.
• Using spamming techniques, unsolicited emails, or misleading advertisements to promote referral codes.
• Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
• Interfering with or disrupting the integrity or performance of the Platform or the data contained therein.
• Attempting to gain unauthorized access to the Platform or its related systems or networks.
• Violating any applicable local, state, national, or international law or regulation.

Violation of these terms may result in the suspension or termination of your account and forfeiture of any accrued, unpaid earnings or rewards.

5. Intellectual Property Rights

The Platform and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of xMonks and its licensors. The Platform is protected by copyright, trademark, and other laws of both India and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of xMonks.

6. Disclaimers

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. xMonks makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Further, xMonks does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Platform or otherwise relating to such materials or on any sites linked to this site.

7. Limitation of Liability

In no event shall xMonks, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Platform; (ii) any conduct or content of any third party on the Platform; (iii) any content obtained from the Platform; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

8. Indemnification

You agree to defend, indemnify and hold harmless xMonks and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Platform.
